(Terms & Conditions Updated as of 14 July 2024)

Gotakebike Pte. Ltd. is a motorycle bike sharing company with UEN 202215885H and its registered address at 317 Outram Road, #02-18, Concorde Shopping Centre (Defined as "Gotakebike", "we", "us"). Gotakebike is the sole owner and operator https://gotakebike.com and all mobile apps ("Platform") and provider of all services that are provided via the Platform which include on-demand hourly motorcycle rental for hirers for leisure or commercial use. All motorcycles are owned by Gotakebike.

The page defines the terms & condtions between Gotakebike and you ("Hirer") as a member of Gotakebike. By accessing and maintaining an account with us, you have hereby agreed to be bound by these terms and conditions stipulated here. Gotakebike may amend the terms periodically and you are advised to read the terms carefully from time to time.

The agreement between Gotakebike and you is:

1. YOUR ELIGIBILITY FOR BOOKING
a) You must be at least 22 years old and under the age of 69. Riders above the age of 69 must furnish a valid medical examination acknowledgement letter issued by the Traffic Police.
b) You must not have less than 24 months riding experience.
c) You must hold a class 2B license for at least 24 months from the date of issuance of license.
d) You must have a valid Singpass account with access to Myinfo to register and maintain an account with Gotakebike.
e) You must have a valid Singpass mobile number and always remain contactable during bookings.
f) You must hold a valid credit/debit card.
g) You must be in good financial standing with Gotakebike and not be banned by Gotakebike.
h) You must not be a bankrupt or facing bankruptcy proceedings.
i) You must not owe Gotakebike any money.
j) You must certify that you have the mental and physical capacity to operate a motor vehicle competently, safely and lawfully.
k) You agree to be bound by and comply with the terms of this agreement.

2. MEMBERSHIP
a) If you meet the eligibility criteria, you may apply to become a member with Gotakebike (“Member”) by:
(a) completing the application process on the Gotakebike mobile app; and
(b) paying the security deposit of $25.00 using a valid debit or credit card (“ Payment Card”).
b) Provisional licence holders who are accompanied by instructors and/or any other person, and riders with less than 12 months’ riding experience who are under probation (i.e. p-plate riders who are required to affix the orange triangle with the yellow background on the front or back of the vehicle) are strictly NOT permitted to become members. Members who permit non-members who fall in either one of the above categories to use the Gotakebike motorcycle shall NOT be eligible for insurance cover and in addition, shall be liable for any penalties and/or additional fees that may be imposed by the relevant authorities and/or Gotakebike due to non-compliance with applicable laws.
c) You will only be converted to a Member upon your first booking via the app.
d) Where required, you shall add a valid Payment Card to your Gotakebike account enabling Gotakebike to charge all rental payments, additional fees that may fall due, repair costs, late payment interest and reasonable expenses incurred by Gotakebike in recovering any amount due from the Member as well as surcharges, tolls (including but not limited to ERP charges) and fines issued against the motorbike during the rental period.
e) Holders of expired, suspended, cancelled, withdrawn, restricted, lost, stolen or otherwise invalid riding licences are not eligible to apply to be a member.
f) If at any time during the membership, the Member’s license is lost, suspended, cancelled, expired, withdrawn, stolen, restricted or becomes invalid, or the Member ceases to meet the eligibility criteria set out at paragraph 1 above, the Member must notify Gotakebike upon discovery of the same. Members who drive without a valid licence will not be eligible for insurance cover and will be liable for any penalties that may be imposed by the relevant authorities due to non-compliance with applicable laws.
g) If your membership is suspended, all monies owing to Gotakebike are due and payable immediately.
h) Gotakebike reserves the right to deny membership to any person based on such person’s driving record.
i) You authorise Gotakebike, at any time, to check your credit and/or other equivalent data sources that may reveal any risk associated with the provision of any Gotakebike services to you. Gotakebike may decline to provide its services to you or cease to continue providing ongoing services based on the results of such checks.
j) The agreement will commence on membership date or the activation date and continue until terminated by either Member or Gotakebike in accordance with the provisions herein.
k) Your membership is NON-TRANSFERABLE. You must NOT, under any circumstances, permit any other person to use the Gotakebike services.
l) You acknowledge that meeting the eligibility criteria does not automatically entitle you to become a Member or to use the Gotakebike Services, and approval of your application to become a Member is at Gotakebike’s sole discretion.

3. USE OF MOBILE APPLICATION/ACCOUNT
a) You allow Gotakebike to retain personal data for purposes of account validation and booking purposes.
b) You must use a supported android or iOS device to access the mobile app.
c) You are not allowed to share your Gotakebike account with anyone. If you are found to be sharing your account with any others, Gotakebike reserves its right to proceed as it deems fit.
d) You must report any potential vulnerabilities or account fraud to Gotakebike.

4. USE OF MOTORBIKE
a) You may use the motorbike for any leisure or commercial purposes but are not allowed to use it for any other unlawful purposes or purposes deemed inappropriate by Gotakebike such as racing, tuition etc.
b) You must begin your booking by using the Gotakebike mobile application and take all necessary photos as evidence of damages that may have been incurred
by the previous hirer in order to begin your booking.
c) You must carefully inspect and report any issues to Gotakebike before riding off. You are deemed to have accepted the vehicle in satisfactory condition upon starting and moving off the motorbike more than 1 kilometre from the return location and will be liable for any damages or reported by the next hirer.
d) You are only allowed possession of the motorbike during the booking period.
e) You shall not operate the motorbike while under the influence of alcohol or drugs.
f) You are required to use your own helmet. Gotakebike does not provide helmets or gloves etc.
g) To combat fraud and illegal subletting, Gotakebike is at liberty to verify use of the motorbike by requiring you to provide a photograph with the motorbike.

h) You agree to operate the motorbike in a safe manner and not subject the motorbike to excessive use (e.g. excessive high RPMs, excessive weight).
i) You agree to be fully responsible for the motorbike during your possession and will be liable for all losses, accidents, damages, theft and fire caused to the motorbike including all costs involved in the recovery or repair of the motorbike.
j) You agree that the motorbike is to be used in Singapore only and shall not be ridden to and in Malaysia.
k) You agree to bear all ERP charges, parking charges and fines incurred during
your use of the motorbike.
l) You agree to collect and return the motorbike with a full tank of petrol. To avoid doubt, the indication that the petrol tank is fully filled is a “click” sound being heard or where no more petrol can enter the tank. You can then ride a maximum of 5 kilometres back to the return location. In the event of any dispute, Gotakebike reserves the right to impose a penalty of $25.00 against you.
m) You agree to return the motorbike in the same condition as when it was picked
up and report any damages/irregularities that arose during your booing period to Gotakebike.
n) You agree not to remove any items, parts or stickers from the motorbike.
o) You are not allowed to attempt to or to dismantle the motorbike.
p) You are required to ensure that the petrol switch is switched off after ending the ride. Failure to do so will incur a $25.00 fine.
q) You are required to return the motorbike before the booking end time. Should you return the motorbike after the booking end time, a fine of $0.60 per 1 minute will be imposed.
r) You agree that if the motorbike is not returned within a reasonable time frame, the motorbike will be considered abandoned, and a recovery fee of $100.00 will be imposed.
s) You agree not to allow another person to use the motorbike during the duration of the booking. If you are found to have allowed another person to use the motorbike during your booking period, Gotakebike reserves the right to impose a minimum fine of $2,000.00.
t) You agree that Gotakebike will not be held liable for any injury, loss or damage occasioned by your use of the motorbike. Any items left behind after your
booking period will be either handed over to the relevant authorities, discarded or donated.
u) You are required to maintain the cleanliness of the motorbike. It is your responsibility to remove all trash and your personal belongings before returning the motorbike and to leave the motorbike in a clean state for the next user. Gotakebike shall not be responsible for any loss of your personal belongings
should you omit to remove such belongings before returning the motorbike.
v) You may NOT, under any circumstances, access or operate the motorbike or allow anyone to access or operate it:
i. to learn how to ride or to train another to ride;
ii. as a for-hire vehicle as part of a transportation network company or any other for-hire or commercial purposes;

iii. outside normally maintained paved roadways or roadways suitable for the motorbike;
iv. to attach any items to the outside of the motorbike;
v. to transport objects or substances (not limited to hazardous, flammable, corrosive, toxic, explosive, ionizing, or combustible materials) that, due
to their nature or odour, may damage the motorbike or otherwise could create a hazardous situation for yourself or others;
vi. to participate in races, rallies, trials, or any other competitive event;
vii. in violation of traffic laws or other laws and regulations, including through toll lanes without complying with applicable payment and other requirements;
viii. when suffering from excess fatigue;
ix. when under the influence of alcohol, drugs, medication, or any other legal or illegal substance that might alter or impair your ability to safely and lawfully operate the motorbike;
x. for any illegal purpose, including the illegal conveyance of persons, drugs or contraband, or weapons;
xi. to destroy, damage, or aid in the theft of the motorbike;
xii. to disassemble, service, or repair the motorbike or access any internal mechanical or electric component within the motorbike; and
xiii. if the motorbike has been obtained by fraud or misrepresentation.
w) If you are in violation of any of these terms and conditions, you are liable to indemnity Gotakebike in full for all expenses incurred because of your violation and you shall also not be eligible for insurance cover.

5. ACCIDENT OR BREAKDOWN
a) In the event of an accident or breakdown, you must immediately report the accident to Gotakebike or inform Gotakebike via WhatsApp or its support line and provide accident or breakdown details such as current location, take pictures of the vehicle(s) involved and the damages thereto, obtain particulars of the other drivers involved and move the motorbike to a safe location as soon as possible, and must not admit any fault for the accident.
b) If you fail to report the accident, all insurance coverage pertaining to you and the motorbike will cease and you will be fully liable for all costs involved due to the accident
c) You agree to be liable for all costs involved arising from the accident including but not limited to insurance excess, vehicle damage, towing, loss of use, repair, fines, etc. in the event the accident is determined by Gotakebike to be due to your negligence.
d) Gotakebike will not be liable for any costs resulting from the breakdown or accident of the motorbike (e.g. taxi fees, loss of use, etc.)

6. BOOKING AND WALLET
a) Each Member of Gotakebike shall be issued a virtual wallet (“eWallet”) within his/her account for the purposes of topping up and paying for bookings using credits.

b) Credits have no monetary value and cannot be redeemed for cash or cash equivalents and may only be used for services within Gotakebike.

c) All refunds or compensations will only be paid as credits to the Member’s e- Wallet.

d) All e-Wallet top ups from 1 May 2023 will incur a payment processor fee as per the table below.

e) Bookings for Motorbikes must be made in advance of your intended booking period.
f) Bookings for motorbikes are based on first-come-first-served basis.
g) You are only allowed to reserve a single motorbike during the same booking period; multiple bookings across multiple bikes on the same time and date are not allowed.
h) Bookings may be allowed to be extended or start early, subject to availability of the motorbike and payment of early or extension fees.
i) Booking fee will be immediately deducted from the e-Wallet upon confirmation of booking.
j) Bookings are not allowed to be cancelled less than 24 hours from booking start date and will not be refunded.
k) For bookings cancelled between 24 to 48 hours before the booking start date, you may be entitled to a refund of 50-100% of the booking fee which will be credited to your e-Wallet.
l) You agree that Gotakebike is a motorbike sharing service and is not liable for actions outside its control such as motorbike breakdown, previous hirer returning the motorbike late or previous hirer’s abandoning the motorbike and may cancel and refund your booking without any compensation at Gotakebike’s sole discretion.

7. SECURITY DEPOSIT OR PAYMENT OF FEES
a) You shall be required to maintain a security deposit of a minimum of $25.00 to book and ride motorbikes.
b) Security deposit amounts may be raised for Members with higher risk.
c) In the event of any deductions due to penalties or fines which result in the security deposit falling before the minimum amount, you will be required to top
up your security deposit before being allowed to book or ride.
d) Security deposits are refundable upon termination of account.
e) As a condition to, and in consideration of your enrolment as a Member in Gotakebike, you agree to pay all outstanding fees if and when they become due, and unless prohibited by law, you authorize Gotakebike to charge Your Payment Card for all fees. All fees are due immediately when they are incurred.

8. INSURANCE
a) Gotakebike maintains third-party liability insurance for itself.
b) You acknowledge and agree that the insurance cover may not cover in whole or in part, your liability to Gotakebike or to a third party, including for damage to the motorbike, injury to you, injury to other people, and/or damage to or loss of your property or a third party's property, and that despite the insurance cover,
you may be liable directly to Gotakebike and/or any third party to whom you have caused damage, injury or loss through your use of the Gotakebike service. For the avoidance of doubt, the insurance cover does not cover any damage to or loss of your property through your use of the Gotakebike Service.
c) Gotakebike reserves the right, at any time, without notice to you, to modify the Gotakebike insurance cover.
d) In the event of any payment under this policy, Gotakebike and its insurer are entitled to all the rights of recovery of the person to whom payment was made
against you. You must sign and deliver to Gotakebike and its insurer any legal papers relating to that recovery, do whatever else is necessary to help Gotakebike and its insurer exercise those rights and do nothing to prejudice the rights of Gotakebike or its insurer.
e) Gotakebike and its insurer may seek subrogation from you in the event that you are at fault for an accident for which Gotakebike or its insurer has provided payments to a third party for damages or injuries sustained by that third party.

9. INDEMNITY
a) To the maximum extent permitted by law, Gotakebike hereby disclaims and shall not be held liable to you or any other party or third party, or be held responsible for all economic, incidental, damages, and lost profits arising out of or in relation to your acts or omissions to these terms and conditions regardless of whether foreseeable or unforeseeable.
b) You shall indemnify and hold Gotakebike, its officers, directors, employees and agents harmless from and against all costs, expenses and damages that Gotakebike may incur or suffer directly or indirectly as a result of your breach of agreement including costs that Gotakebike may incur except to which it is incurred by Gotakebike’s own negligence.
c) You accept that the use of Motorbikes involves the risk of death, injury and property damage and Gotakebike is not liable for any events that may occur as a result from the use of the Motorbike by you.
d) To the fullest extent of the law, you agree to unconditionally release and discharge Gotakebik from all claims and liabilities arising from the use of the Motorbike and services.
e) To the fullest extent permitted by law, you on behalf of yourself and your successors in interest, agree to defend and indemnify the released parties from and against any claims, action suits, proceedings, losses and damages, liabilities costs and expenses, including but not limited to legal fees and costs arising from your failure to comply with these terms and conditions.

10. TRAFFIC AND PARKING VIOLATIONS
a) You are personally responsible for any breach of traffic, rules and regulations when using the Motorbike. You are also personally responsible for any breach
of parking law, rules and regulations when using the Motorbike.
b) You must pay all tickets, surcharges, tolls, fines or penalties arising in connection with your use of the Motorbike. You shall then settle such ticket, fine or penalty directly with the issuing authority.
c) You acknowledge and agree that Gotakebike may provide your identity details to any law enforcement authorities on request and/or otherwise in connection
with any alleged breach of applicable laws by you.
d) If you cause the Motorbike to be immobilised or clamped, or removed by breach of any applicable laws, you will be liable to Gotakebike as if you had abandoned the motorbike, and you will also be liable to reimburse Gotakebike for any fees or any other liabilities to the relevant parking authority or private operator of the relevant parking facility.

11. TERMINATION OF ACCOUNT
a) Gotakebike reserves the right to terminate your account and this agreement if you breach any of the terms and provisions stipulated in this agreement.
b) You may request to terminate your account by writing in to Gotakebike and filling up the termination form. For Members, all balances in the e-Wallet except the security deposit (which is not part of promotional credits) will not be refunded and you are advised to use all available balance before terminating the account.
c) Gotakebike may terminate your membership with immediate effect by giving you written notice:
i. if you do not pay any fees within thirty (30) days of receipt of a payment reminder sent to you by Gotakebike informing you that such fees are outstanding. Gotakebike may send this notice by post, email, text message. Any termination under this section does not affect Gotakebike’s right to charge the late payment interest of 20% per annum on any outstanding amounts; or
ii. if you materially breach any term or condition in the agreement; or
iii. if you are involved in an accident involving a Gotakebike motorbike that leads Gotakebike to reasonably conclude that you are not suitable for continuing membership; or
iv. if you permit any other person (other than a Gotakebike representative) to ride a Gotakebike motorbike during your booking period, or share your Gotakebike account with any others.

d) Gotakebike may also, at its sole discretion, terminate or suspend your membership, and your future use of any Gotakebike services may be denied.
e) If Gotakebike suspends or terminates your Membership for cause, Gotakebike will not reimburse any funds to you. Following such suspension or termination, you will remain responsible for any unpaid fees, as well as outstanding amounts arising from any other obligation that these terms and conditions impose on you.

12. NOTICE
a) Any document, notice or demand required or permitted to be given or made by any of the parties hereto shall be in writing and deemed to be sufficiently and validly given or made on the day at which the same is left 48 hours after the time of posting to the address that was provided by the Member to Gotakebike or the registered officer or the last known address of the party to whom such document, notice of demand is to be given or made.
b) The Member agrees that the service of any originating claim, statement of claim, statutory demand, originating application (creditor’s bankruptcy application) or any other legal, enforcement of bankruptcy process in respect of any claim, action or proceeding may be effected by sending the same by hand or registered post to the Member’s address as provided to Gotakebike or such other change of address as notified by the Member in writing or the last known address of the Member) and such service of process shall be deemed to be good and effectual service on the Member notwithstanding that it is returned by the post office undelivered. Nothing shall affect the Gotakebike’s right to serve process in any other manner permitted under any applicable law.

13. GENERAL TERMS
a) The Member acknowledges and agrees that ownership of the Gotakebike motorbike always remains with Gotakebike.
b) Nothing in this agreement is intended to, or shall be deemed to establish any partnership, agency or joint venture between the Member and Gotakebike.
c) Only the Member and Gotakebike have rights under this agreement. No other person shall have any rights under this agreement. The Member may not transfer or assign any of the Member's rights or obligations under this agreement to any other person unless Gotakebike agrees to this in writing before any such transfer.
d) The rights and remedies provided in this agreement are in addition to, and not exclusive of, any rights or remedies provided by law.
e) Each of the sections of these terms and conditions operates separately. If any court or relevant authority decides that any of them (or any part of any of them) are unlawful, the remaining provisions will remain in full force and effect.
f) Nothing in this agreement shall limit or exclude any liability for fraud.
